This document is an INTERIM terms of service. We may revise it at any time without notice to you, and you agree to be bound by any such future revision. However, if we increase the prices in these Terms, we will notify you by email, and the change will not take effect until at least 28 days after the notice is sent.
Littlink is a service of Groundbreaking Software, Inc., a California corporation ("we", "us", "our"). These Terms shall be governed by California law, and any dispute between you and us shall be settled in a California court unless both you and we agree otherwise.
By creating a Littlink account, you agree to these Terms.
The Littlink service allows you to register aliases ("short links") for URLs hosted elsewhere on the Internet ("long links"). The Littlink service will automatically assign a URL to short links, but you may also assign a URL of your choice to them ("custom short links"). The Littlink service will redirect any person who visits a short link to the corresponding long link ("short link redirection"), and will record information about the visit ("analytic data"). The Littlink service also allows you to edit and delete short links you have registered, to view information about visits to short links you have registered, and to manage your Littlink account.
The Littlink service includes one or more Internet domain names ("shared domains") that any Littlink user may add custom short links to. In addition to adding custom short links to the shared domains, you may add your own Internet domain names ("custom domains") to your Littlink account, which only your Littlink account will be permitted to add custom short links to.
We may change the precise set of features provided by the Littlink service at any time without notice, so long as it continues to fit the general description in the above paragraphs. We may change the exact set of shared domains at any time without notice, but when possible we will notify you by email of any shared domain changes that affect custom short links you have registered. We may impose restrictions on the URLs of custom short links, and we may change these requirements at any time.
You must not use the Littlink service if you are under the age of 13 or if we are forbidden by United States law to do business with you.
You must not create a Littlink account unless you are legally able to agree to be bound by these Terms. If you cannot agree yourself, a parent or guardian may create your Littlink account and agree to these Terms on your behalf.
We reserve the right to refuse service to anyone for any reason, except as forbidden by California or United States law.
You will pay us US$2.99 per month for your Littlink account, plus US$5.00 per month for each custom domain added to your Littlink account. In exchange for this payment, we will provide the Littlink service to you.
You will associate a credit or debit card with your Littlink account ("your credit card"), and we will charge your credit card in advance of each month of service. Your first payment will be due 14 days after you create your Littlink account; until this payment comes due, the Littlink service will be provided to you for free on a trial basis ("free trial period"). Subsequent payments will be due on the same day each month. We will notify you by email of the result of any attempt to charge your credit card.
The payment for custom domains does not include registration with a domain name registrar; you are responsible for registering your own domain names and paying any associated fees.
When performing short link redirection, we will not alter the long link you provided to direct revenue paid by third parties from you to us.
If we attempt to charge your credit card and the charge is declined or fails for any reason, your Littlink account will enter a grace period of at least 14 days, during which short link redirection will continue as normal, but other parts of the Littlink service may be limited or disabled ("reduced functionality"). During this grace period, we will attempt to charge your credit card several more times. If your credit card is successfully charged at any time during the grace period, the grace period will end and full access will be restored in a timely manner.
If we cannot successfully charge your credit card by the time the grace period ends, we will unilaterally close your account.
You may change your credit card at any time, even during the grace period, through the Littlink service. You are responsible for keeping your credit card correct and up to date, and ensuring that our attempts to charge it are not declined. We will not issue any refund or credit or apply any discount for reduced functionality, and will not be liable for any loss or damage stemming from reduced functionality.
If the charge that fails is the one for the first full month of service at the end of your free trial period, we may reduce the length of the grace period at our discretion, but not to less than three days.
You may request that we close your Littlink account at any time through the Littlink service. Requests through other means, including written notice to us, will not be honored, as we have no way to ensure they came from you. We may also close your Littlink account unilaterally at any time at our sole discretion.
Once your account is closed, we will usually terminate service when your next payment would normally be due, and we will not issue any refund or credit for the time between account closure and termination of service. However, if we unilaterally closed your account, we may choose to terminate service early. If we terminate service early, we will issue a prorated refund to the credit or debit card associated with your Littlink account.
Once service has terminated, we may delete your account's data at any time at our sole discretion.
We provide the Littlink service on an "as is" and "as available" basis. We take no responsibility for any loss or damage stemming from any unavailable services, inaccurate or deleted data, or other malfunctions, and we make no promise to issue a refund or credit for any such failure.
We may intentionally disable or delete any of your short links or custom domains if we believe, in our sole judgement, that doing so is necessary to avoid a more serious disruption of the Littlink service. If we do, we will notify you by email. At your request, we will issue a prorated refund or credit for the period during which one or more of your short links or custom domains was intentionally disabled, up to a maximum of 7 days. Our liability for any such action will be limited to only this refund.
We may also take other actions that we believe, in our sole judgement, are necessary to avoid a more serious disruption of the Littlink service, even if these actions might, as an unintended side effect, cause you damage. (As a purely illustrative example, we might block computers which we believe are flooding the Littlink service with excessive traffic, and doing so might accidentally block computers that are trying to access your short links.) We take no responsibility for any loss or damage caused as an unintended side effect of such actions, and we make no promise to issue a refund or credit for any such action.
We will not be liable for any loss or damage stemming from your failure to do any of the following:
Any of the following actions, or any attempt to take any of the following actions, will be considered misuse of the Littlink service:
If we believe, in our sole judgement, that you have misused the Littlink service, we may:
We may, at our sole discretion, choose not to issue a refund or credit for any action we take in response to your misuse of the Littlink service, even if one would otherwise be issued for that action.
We will assume that anyone who knows your Littlink account's password or can read email sent to your Littlink account's email address is you, and is permitted to change your account in any way, including changing the email address, password, or credit card associated with the account, adding, editing, or deleting short links or custom domains in your account, or closing your account. We will not be liable for any loss or damage stemming from your failure to secure your password and email account, nor for your choice of an easy-to-guess password.
We will take reasonable steps to prevent anyone discovering your password, including use of industry-standard cryptography to protect your password.
We will comply with industry requirements in the handling of your credit card information, or will contract with a third party to do so and delegate the handling of all credit card information to them.
We may, from time to time, analyze data in your Littlink account for our internal use. You agree to allow us to do so at any time and for any purpose.
We will not share your Littlink account's data, including your email address, with any third party except as allowed by these Terms. You agree to allow us to share your Littlink account's data:
You agree to allow us to send you emails concerning the providing of the Littlink service, including invoices and other payment information, and understand that you will not be able to unsubscribe from these emails except by closing your Littlink account.
If we send you any marketing emails for our own services, you will be able to unsubscribe from them. We will not send marketing emails on behalf of third parties to your email address.
The design and code of the Littlink service is © 2015 Groundbreaking Software.
We claim no copyright, trademark, or other intellectual property right in any content you provide to us. However, by adding content to the Littlink service, you warrant that either there is no copyright or trademark violation in that content, or that you have the right to license that intellectual property to us and that you have granted to us a license sufficient to use it in the operation of the Littlink service in all ways permitted by these Terms.
